Subscription Billing Agreement

The digital platform found at www.prompteasily.com, app.prompteasily.com, along with its other subdomains and the web browser extension “PromptEasily” (referred to as “the Site”), is the intellectual property of PromptEasily, Corp. (“PromptEasily”, “Service Provider”, “Company”, “us”, “our”, “we”). Certain features of the service are accessible through paid automatic subscription payments and this SaaS Billing Agreement. This SaaS Billing Agreement (“Agreement”) is effective from the date the Customer accepts the paid service, and it is supplementary to the general terms for PromptEasily, our privacy policy, the terms for browser extension use, and our usage policy.
Definitions:
- “Service” refers to the software as a service (SaaS) rendered by the Service Provider.
- “Customer” denotes the individual or entity that subscribes to the Service.
- “Agreement Term” is the authorized duration for the Customer to utilize the Service.
- “Confidential Information” pertains to confidential data shared between parties.
Service:
- The Service Provider commits to offering the Service throughout the Agreement Term, ensuring it is available round the clock, barring scheduled maintenance. Service compliance with global and local data protection laws is guaranteed. The Service Provider retains the right to modify or halt the Service without prior notice.
Payment:
- Payments are based on invoices presented by the Service Provider, payable upon receipt. The subscription period choices are either 1 month or 12 months. Non-payment may lead to service suspension, with no refunds for any unused durations.
Automatic Renewal & Recurring Charges:
- This Agreement auto-renews for equivalent periods, unless cancelled by the Customer. Subscription plans utilize recurring billing, and the Customer must address any payment issues promptly. The pricing is indexed and may rise annually.
Customer’s Responsibility to Cancel:
- The Customer must proactively cancel the Service using the provided cancellation methods in the Billing Portal. Cancellations through other means are not accepted.
No Refunds:
- Refunds are not provided under any circumstances, even if the Customer downgrades or cancels their plan. Upon payment, access to the Service is immediate, making refunds non-applicable.
Multiple Subscriptions & User Licenses:
- Customers can have multiple subscriptions and user licenses, with the onus on them to manage and cancel them accordingly.
Taxes:
- The listed Service fee excludes any local taxes. Customers must handle any tax obligations, providing relevant documentation to the Service Provider.
Intellectual Property:
- All rights related to the Service remain with the Service Provider. Unauthorized reverse engineering or code deciphering of the Service is prohibited.
Confidentiality, Data Protection, and Security:
- Both parties must adhere to relevant data protection and security laws, ensuring user compliance and safeguarding against unauthorized access.
- Termination:
- Breaches can lead to Agreement termination if unresolved within 30 days of a written notice.
- Indemnification:
- The Customer must protect the Service Provider against any claims or legal actions arising from Service misuse, Agreement breaches, or legal/regulatory violations.
- Limitation of Liability:
- The Service Provider’s liability is restricted to the fees paid by the Customer in the 12 months preceding any claim, excluding indirect damages.
- Governing Law:
- This Agreement adheres to the laws of the State of Delaware, with any legal proceedings to occur exclusively within this state.
- Entire Agreement:
- This Agreement, combined with PromptEasily’s general terms, privacy policy, browser extension terms, and usage policy, represents the complete understanding between parties. Written consent from both parties is required for any modifications.
By entering this Agreement, the Customer acknowledges all terms and conditions and commits to adhering to them.
